These terms and conditions apply to the InnoDays (“EVENT”) hosted by conui GmbH (“ORGANIZER”), a company registered at Austraße 96, 6800 Feldkirch, Austria. The purpose of the event is to connect company partners and talent to prototype solutions to challenges. The event’s outcomes are referred to as “WORK RESULTS.” Acceptance of these terms is a mandatory condition for participation.
1. Definitions and Partner Roles
The ORGANIZER, EVENT PARTNERS (involved in organization and hosting), and CHALLENGE PARTNERS(companies providing a challenge) act as independent controllers regarding the processing of personal data under the GDPR.
CHALLENGE SPONSORS are defined as entities contributing to a specific or the overall challenge (excluding pure logistical sponsors such as food or beverage providers).
2. Eligibility
The EVENT is open to individuals at least 16 years old. PARTICIPANTS must register in advance and provide the requested information. The PARTICIPANT confirms they have no conflict of interest and remains responsible for their own conduct, acts, and omissions at all times.
3. Challenges and Outcomes
Challenges: CHALLENGE PARTNERS define a challenge brief to be published before the EVENT.
Ideas: PARTICIPANTS are invited to pitch ideas in response to these challenges.
Teams: Teams of 3–5 members form around these ideas.
Prototypes: During the EVENT, teams develop a prototype (e.g., app, storyboard, physical model). The WORK RESULTS must be the PARTICIPANT’s original work.
4. Intellectual Property Rights
Ownership of intellectual property rights of the work created and achieved within the scope of the EVENT, such as ideas and prototypes (including all interim results and preliminary stages, hereinafter “WORK RESULTS”) remain with the PARTICIPANTS.
Right to First Refusal:
PARTICIPANTS are aware that the COMPANIES intend to use the WORK RESULTS (or parts of them) commercially. If the PARTICIPANTS want to continue to work on their idea, the following applies:
- The team of PARTICIPANTS needs to express their interest in working together with the COMPANY on their further development of the WORK RESULTS within one (1) month after the EVENT by writing to the main contact of the COMPANY (“right of first refusal”);
- If the entire team of PARTICIPANTS is not interested in such further processing, this right and obligation also applies individually to each member of the team;
- Finally, If no team member expresses interest within this timeframe, the CHALLENGE PARTNER is granted a free, exclusive, perpetual, and transferable right to use, process, and further develop the WORK RESULTS worldwide without further involvement of the PARTICIPANTS.
The PARTICIPANTS commit themselves, therefore, in the case of non-exercise of the “right of first refusal” by the team or individual members, to a free, exclusive right of use of the WORK RESULTS (or parts thereof). This right includes all exploitation rights and is not subject to any restrictions in terms of time, content, or geographic scope and is transferable by the COMPANY and can be further licensed.
Should PARTICIPANTS decide to use their WORK RESULTS independently from the COMPANIES, the COMPANIES have the right of first refusal to opt to work with PARTICIPANTS to develop their WORK RESULTS further. PARTICIPANTS need to inform COMPANIES about their intent within one (1) month after the EVENT. The COMPANIES must promptly inform PARTICIPANTS about their collaboration interest within one (1) month after receiving the collaboration request.
Research reservation
PARTICIPANTS retain the right to use WORK RESULTS for non-commercial purposes, such as academic portfolios or coursework.
5. Judging and collaboration incentives
The panel of judges is selected by ORGANIZERS and may change in the EVENT of unforeseen circumstances. Prototypes and oral presentations will be judged by a panel of judges based on the following equally weighted criteria:
- Innovativeness
- Feasibility
- Challenge Fit
- Presentation
- Impact
Decisions are final and binding in all respects. The PARTICIPANT whose WORK RESULTS is judged in first place will receive a prize provided by the COMPANY. COMPANIES and ORGANIZER reserve the right, in their sole discretion, to award additional prizes or to vary the prizes. Prizes may be subject to separate terms and conditions at the discretion of the COMPANIES.
Payment of any compensation or reimbursement of costs that might be included in the prize will be made to the PARTICIPANT by arrangement following completion of the EVENT to the bank details as advised by the PARTICIPANT (or if the winning WORK RESULTS is submitted by more than one PARTICIPANT, by arrangement with the winning team’s leader/representative). The ORGANIZER has no responsibility for how the prize is subsequently used by the PARTICIPANT. If the prize is accepted by a group of PARTICIPANTS, the ORGANIZER has no responsibility for how compensation or reimbursement is distributed between them nor for any disagreements between them.
6. Confidentiality
In this clause, “Confidential Information” means secret or confidential commercial, financial, marketing, technical, or other information, know-how, trade secrets, and other information in any form or medium whether disclosed orally or in writing. The PARTICIPANT acknowledges that it may receive or have access to Confidential Information of COMPANIES, its affiliates, agents, and/or suppliers in connection with the EVENT. All Confidential Information shall be kept strictly confidential by the PARTICIPANT. The PARTICIPANT agrees not to disclose any Confidential Information to anyone or use it for any purpose other than participating in the EVENT. Exceptions apply where the information is public, independently developed, lawfully obtained from a third party, or required to be disclosed by law (in which case reasonable notice should be given, if possible).
7. Data Protection and Use of Information
The ORGANIZER processes personal data in compliance with the GDPR. Data processing is based on contractual necessity (managing participation), legitimate interests, and/or consent. Detailed information on how we handle your data, your rights, and the specific data categories collected can be found in our Privacy Policy, which forms an integral part of the relationship between the ORGANIZER and the PARTICIPANT.”
Data Disclosure:
Contact Data & WORK RESULTS will be shared with EVENT PARTNERS, CHALLENGE PARTNERS, and CHALLENGE SPONSORS for event management, challenge follow-up, collaboration, and talent/recruiting purposes.
WORK RESULTS will be shared with Mentors and Jury Members for coaching and evaluation.
Purposes: Data is used for participation management, team formation, logistics, judging, showcasing results, and allowing partners to contact talent for recruitment.
Publicity: By registering, PARTICIPANTS consent to the use of photos and videos taken during the EVENT for promotional and documentation purposes. PARTICIPANTS may withdraw this consent at any time via hello@innodays.org.
Inspiration Videos: Submitted inspiration videos will be shared with partners, mentors, and other participants strictly for event-related purposes (e.g., team matching) and will not be used for marketing without explicit consent.
8. General
The PARTICIPANT is solely responsible for all costs and expenses incurred by him/her in relation to the EVENT, including but not limited to travel costs. ORGANIZER reserves the right to cancel or postpone the EVENT for any reason without liability. The PARTICIPANT is responsible for any damage to property or equipment provided by ORGANIZER or its partners. Liability is limited to intent and gross negligence. The ORGANIZER is not liable for loss or damage to personal belongings. Accidents must be reported immediately. Equipment must be returned in proper condition. Escape routes must be kept clear. PARTICIPANTS must observe house rules and instructions from ORGANIZER staff. Non-compliance may result in exclusion from the EVENT or loss of awards. These terms do not constitute a commitment to future collaboration. They are governed by Austrian law, with jurisdiction in Austrian courts.
